2008 Girl Scout National Council Session 51st Convention

 Proposals

Proposal 1

Six items on consent agenda:

  • Eliminate archaic language.

  • Use contemporary wording.

 

Proposal 2

Amend Articles IV and V

  • Part 1: Reduce National Council

  • Part 2: Delegate Formula

  • Part 3: Special Sessions

Parts 1 & 2

  • National Council = 1,000 or under

  • Formula for Councils and USAGS Oversees

  1. two (2) delegates;

  2. one (1) additional delegate for up to 5,000 girls;

  3. one (1) additional delegate for every 5, 000 girls thereafter.

* Adjustment may be needed to keep total membership < 1,000

 

Parts 1 & 2 Rationale

  • A smaller National Council will promote greater flexibility.

  • Decrease is consistent with Realignment.

  • Supported by survey respondents.

Proposal 3

Voting Requirements/Dues Amend Article V

  • Permits election by voice vote (acclamation).

  • National Board sets membership dues going forward.

Voting & Dues Authority Rationale

  • Practice of timing dues proposals for National Council action is slow and outdated. A more agile practice is needed to adjust dues.

  • National Board has overall fiduciary responsibility, and sets annual budget.

  • Consistent with Board authority outlined in Congressional Charter, Constitution.

  • Best Practice (comparable national non-profit.

Proposal 4

Membership Flexibility Amend Articles VIII and IX

  • Removes restrictive language.

  • Language referencing only annual or lifetime membership categories is too limiting.

  • New language allows more flexible membership options.

Proposal 5

National Board Development Committee Amend Article XII

Section 1

  • Broader charge (National Board Development Committee)

  • Works in partnership with and has a more direct relationship with National Board.

Section 6

  • Appointment of Board Development Committee chair approved by Executive Committee or National Board.

  • Chair has one term limit.

Section 9

  • No member of the National Board Development Committee shall be eligible to be nominated for any officer position.

  • A nominee for Board Chair (President) shall be a current member of the National Board of Directors.

Proposal 6

Membership Dues Increase

Raise Girl Scout annual membership dues to $12.00 beginning October 1, 2009.

Rational

  • Needed to assure financial stability:

  • Operating deficits 2008 and beyond.

  • Last dues increase approved in 2002.

  • Over past 40 years, National Council has approved dues increases approximately every 6 years.

  • Increase kept to minimum.

  • GSUSA is committed to partnering with council to extend membership.
